Outsourcing

Kingsley Napley's commercial technology lawyers have experience of advising on the outsourcing of specific IT functions or applications, and on high value business process outsourcing arrangements where an ongoing managed service is provided. Our work includes customers and suppliers in the finance, transport and defence sectors, and has encompassed a range of back office and front office functions, including sales/operations, human resources, finance and administration.

General and transactional

Our team of specialist commercial solicitors advise both customers and suppliers on the legal implications arising from provision of technological solutions and, in particular, on protection of rights and maximisation of value. Our legal advice may be of a general nature, or may arise from drafting or commenting on technology agreements, including in relation to the development, licensing and maintenance of software, research and development, consultancy services, escrow arrangements and systems integration.

E-commerce

Our technology law advice covers all aspects of establishing and running websites, including those which sell goods or services or which simply display content. We advise on the implementation of web design and hosting solutions, the drafting of terms and conditions of sale and purchase, and the drafting of web terms / privacy policies. We also advise on branding and licensing issues, including in respect of co-branded sites, "whitelabel" sites and XML links to databases.
